NORTH AMERICA LIMITED WARRANTY

Limited Warranty
Powerhouse Dynamics (“PhD”), a Middleby Company, warrants to the purchasing Middleby Brand (“Brand”) that under normal use, the ConnectWare Module (CWM) and Secure Access Point (SAP) (collectively the “Equipment”) will be free from defects in material and workmanship during the Warranty Period, subject to the terms and conditions set forth herein.
The “Warranty Period” is twelve (12) months from the date the Equipment is shipped from PhD to the Brand. This warranty is made only to the initial purchaser (the Brand) and is not assignable without written consent from PhD.
Coverage
This warranty covers parts only.
Service, labor, installation, removal, or reinstallation costs are not included under this warranty.
Upon confirmation of a warranty claim, PhD will provide an advance replacement unit and invoice the Brand.
The failed unit must be returned to PhD. If the failure is confirmed as covered, a credit will be issued to the Brand. If the returned unit is determined to be non-defective or excluded from warranty coverage, no credit will be issued.
Warranty Exclusions
This warranty does not apply to:
Improper installation, configuration, or maintenance (including incorrect network setup, improper power supply, or unsuitable environmental conditions), as stipulated by the ConnectWare User Manual.
Damage from misuse, abuse, neglect, accident, flood, fire, lightning, or other Acts of God.
Equipment with altered or missing serial numbers.
Consumables or accessories other than CWMs and SAPs (e.g., cables, mounting hardware).
Cosmetic damage, normal wear and tear, or non-functional defects.
Any service, labor, or downtime costs.
Warranty Claims

Claims must include the Equipment serial number, proof of shipment date, and a description of the failure.
Disclaimer of Damages
PhD shall not be liable for incidental, special, or consequential damages, including but not limited to loss of use, lost data, lost revenue, or lost profits.
Governing Law
This Limited Warranty shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, USA.
INTERNATIONAL LIMITED WARRANTY

Limited Warranty
This Limited Warranty applies to ConnectWare Modules (CWM) and Secure Access Points (SAP) (collectively the “Equipment”) manufactured by Powerhouse Dynamics (“PhD”), a Middleby Company, and sold to purchasers outside of the United States, Canada, and Puerto Rico through an Authorized Distributor of Middleby International (the “Authorized Distributor”).
The Authorized Distributor warrants to the purchaser that under normal use, the Equipment will be free from material defects in product and workmanship during the Warranty Period, subject to the terms and conditions set forth herein.
The “Warranty Period” is twelve (12) months from the date the Equipment is shipped from PhD’s manufacturing partner (Agility) to the purchasing Brand.
Coverage
This warranty covers parts only.
Service, labor, installation, removal, or reinstallation costs are not included.
Upon confirmation of a warranty claim, the Authorized Distributor (with PhD support) will provide an advance replacement unit and invoice the Brand.
The failed unit must be returned to PhD (or the Authorized Distributor). If the failure is confirmed as covered, a credit will be issued to the Brand. If the returned unit is found to be non-defective or excluded from warranty coverage, no credit will be issued.

Governing Law
